GAQ227R39 Databricks is looking for a talented and experienced Senior Corporate Counsel to join our expanding Legal team. This position will report to our Senior Managing Counsel, Corporate, and is a unique opportunity to advise on and drive a broad range of corporate matters, including governance, M&A and venture transactions, public company readiness and securities law compliance and subsidiary management, and to provide business-focused legal advice to stakeholders throughout Databricks on a daily basis. You will be agile, highly organized and have the skills, drive and flexibility to support and accelerate a leading technology company, addressing novel legal issues and organizational challenges. A successful candidate will be a resourceful self-starter, comfortable working in a fast-paced and dynamic environment and excellent at building strong relationships. Responsibilities • Support all phases of corporate transactions, including M&A, ventures and equity and capital raising transactions • Support public company readiness and securities law compliance initiatives • Develop, implement and continuously improve disclosure controls and procedures in coordination with finance, investor relations and other internal stakeholders • Prepare and review board and committee materials and advise on board-related governance matters • Prepare governance and compliance policies and procedures, including updates to such policies and procedures • Review and advise internal stakeholders with respect to investor presentations, offering materials, public announcements, press releases, and other corporate communications • Support ESG and sustainability reporting initiatives as needed, with a focus on corporate-governance, disclosure and public-company reporting considerations • Advise…
